The Ultimate Beneficial Owner (UBO) registration in the Register of Ultimate Beneficial Owners (RUBO) is required starting from 27 January 2021. The entities already existing before that date are given additional 3 months to complete the registration, i.e. till 27 April 2021.
The entities incorporated after 27 January 2021 have 8 days from the day of their entry into the Trade Register to complete the registration in the RUBO. There is also a 8 days period for submitting notifications to the RUBO in case of any changes to the data previously disclosed therein.

The registration is applicable to all companies registered in the Trade Register and to the legal entities that are registered with the Register of Other Legal Entities maintain by the Central Register.
UBO is a natural person or persons who control, whether directly or indirectly, an entity through their powers which result from legal or factual circumstances. These circumstances allow to exert a decisive influence on the actions and activities of the entity, which in turn makes such a person its UBO.
The RUBO is a database kept by the Central Registry and it contains information on the UBOs of the entities subject to registration. RUBO is of key importance from the perspective of national financial security and limiting activities connected with money laundering and terrorist financing. It reduces the risk of illegal activities by enabling to obtain information on the UBOs, even in complex ownership structures.
For the UBO registration, following data needs to be entered into the RUBO:
data regarding the entity:
business name;
organizational form;
seat and the address;
company identification number;
EDB (Tax Identification Number);
data regarding the UBO/representive:
forename and surname;
residence address;
date of birth;
personal identification number or passport number;
citizenship;
information on the volume and nature of shares or rights vested to the UBO.
The data may be entered to the RUBO by authorized persons like Registration Agents.
The company could give authorisation to the Registration Agents using the official company email address registered in the Central Registry. No Power of Attorney is needed.
The submission to the RUBO cannot be done in writing. It has to be done electronically, by entering the relevant data on the online platform provided by the Central Register.
The Financial Intelligence Unit is a supervisory body that controls and monitors the fulfilment of these requirements, in case of a non-compliance the financial penalties ranging from EUR 5.000 to EUR 10.000 for the legal entity and for the responsible person in the amount of 30% of the penalty for the legal entity.
